MEMBERSHIP AGREEMENT FOR QMC

This Membership Agreement (“Agreement”) is entered into between:

QMC, incorporated under the laws of the Republic of South Africa, with registration number: {{company_registration_number}} and principal address at {{company_address}} (“the Company”),

And

The individual or entity registering as a member on the Quote My Car online platform (“the Member”). Member details are captured electronically during registration and stored in the Member’s account profile.

1. INTRODUCTION

1.1 This Membership Agreement (“Agreement”) governs the relationship between: QMC, a private company registered in the Republic of South Africa (“Quote My Car”, “we”, “us”, “our”), and The individual or entity registering as a member on the Quote My Car online platform (“Member”, “you”, “your”). 1.2 By creating an account, accessing the platform, or participating in auctions, you agree to this Agreement, the Terms & Conditions, Privacy Policy, Auction Rules, Buyer Agreement, and Seller Agreement. 1.3 If you do not agree to any part of this Agreement, you must not register or use the platform. The parties agree as follows:

2. PURPOSE

The purpose of this Agreement is to set out the terms and conditions governing the Member’s membership with the Company.

3. NATURE OF MEMBERSHIP

3.1 By concluding this Membership Agreement, it gives you access to:

• The Quote My Car online auction platform;
• The ability to list vehicles for auction;
• The ability to place bids and purchase vehicles;
• Communications, alerts, and support from Quote My Car;
• Optional value-added services where applicable.

3.2 Membership does not guarantee the right to buy or sell a vehicle; all transactions are subject to compliance with applicable agreements and auction rules.

QMC REGISTRATION NUMBER: {{company_registration_number}} 3.3 Quote My Car may introduce membership tiers, fees, or benefits in the future. Members will be notified in advance of any changes. 4. MEMBERSHIP ELIGIBILITY AND REGISTRATION

4.1 To become a Member, you must: 4.1.1 Be at least 18 years old; 4.1.2 Have full legal capacity; 4.1.3 Provide accurate personal, contact, and identity information; 4.1.4 Not be barred by law from buying or selling vehicles. 4.2 For business Members, the individual registering must have authority to bind the entity. 4.3 Quote My Car may request: 4.3.1 Identity verification (ID/Passport); 4.3.2 Proof of address; 4.3.3 Company documents (if applicable); 4.3.4 FICA information for higher-risk transactions; 4.3.5 Any other verification required under South African law. 4.4 Quote My Car may refuse membership or suspend accounts where: 4.4.1 False or misleading information is provided; 4.4.2 Suspicious activity is detected; 4.4.3 The Member violates this Agreement or any platform rules; 4.4.4 Regulatory obligations require it. 5. MEMBERSHIP ACCOUNT

5.1 Members must keep account details (email, mobile number, profile details) accurate and up to date. 5.2 You are responsible for maintaining the confidentiality of your username and password. 5.3 Any transactions conducted under your login will be treated as having been made by you. 5.4 Quote My Car is not liable for loss or damage resulting from unauthorised account access unless caused by its gross negligence.

6. MEMBER OBLIGATIONS

Members agree to: 6.1 Use the platform lawfully and in good faith. 6.2 Not engage in any fraudulent, deceptive, or abusive behaviour. 6.3 Provide accurate and complete information regarding: Vehicle listings (if selling); Personal and payment details (if buying); Documentation requested for verification. 6.4 Not manipulate the auction process (including false bids, bid shilling, or collusion). 6.5 Comply with all applicable South African laws, including: Consumer Protection Act 68 of 2008; Electronic Communications and Transactions Act 25 of 2002; POPIA; Second-Hand Goods Act 6 of 2009; Any applicable auctioneer or provincial by-laws.

7. MEMBERSHIP FEES

7.1 Quote My Car may offer free or paid membership options. 7.2 If fees apply, they will be clearly disclosed before activation. 7.3 Membership fees, once paid, are generally non-refundable, except where required by law or where Quote My Car expressly agrees. 7.4 Failure to pay membership fees where applicable may result in suspension or cancellation of membership.

8. MEMBERSHIP BENEFITS

Membership may include: 8.1 Ability to bid on live auctions; 8.2 Ability to list vehicles for sale; 8.3 Access to member-only auctions or listings; 8.4 Alerts, notifications, and bidding tools; 8.5 Access to any additional services offered by Quote My Car. Quote My Car may expand or adjust benefits from time to time.

9. MEMBERSHIP TERM

9.1 Membership shall commence on the date of electronic acceptance of this agreement (including account registration and acceptance checkbox) and continue month to month. 9.2 The Company may allow renewal upon payment of applicable fees, subject to any updated terms.

10. MEMBER RIGHTS

Subject to compliance with this Agreement, the Member is entitled to: 10.1 access the facilities, services, or benefits offered by the Company as described in their terms and conditions; 10.2 participate in meetings, events, or activities as applicable; 10.3 vote on matters where voting rights are granted (if applicable)

11. MEMBER OBLIGATIONS

The Member agrees to:

11.2 refrain from conduct that may bring the Company into disrepute;

11.3 ensure fees are paid timeously on or before the {{membership_fee_due_day}} day of each month;

11.4 use facilities or services safely and lawfully

12. COMPANY OBLIGATIONS

The Company agrees to:

12.1 provide the services or benefits described in the Companies terms and

conditions;

12.2 maintain reasonable standards of service in line with South African law,

including the Consumer Protection Act where applicable;

12.3 process any personal information in accordance with POPIA (Protection of Personal Information Act 4 of 2013).

13. VEHICLE TRANSACTIONS

13.1 All vehicle sales and purchases remain subject to:

The Buyer Agreement; The Seller Agreement; The Auction Rules; The Terms & Conditions.

QMC REGISTRATION NUMBER: {{company_registration_number}} 13.2 Membership alone does not override or change any transaction obligations.

13.3 Members acknowledge that:

Vehicles are generally sold voetstoots, unless otherwise stated; Listings may include information provided by Sellers, which Members must evaluate independently.

14. DATA PROCESSING (POPIA)

14.1 By becoming a Member, you consent to Quote My Car processing your

personal information for purposes including:

Account creation and verification; Auction participation; Fraud prevention and risk monitoring; Legal compliance; Communication and notifications. 14.2 Data will be processed in accordance with the Quote My Car Privacy Policy.

14.3 Members may exercise rights of access, correction, objection, and deletion as

permitted by POPIA.

15. SUSPENSION OR TERMINATION OF MEMBERSHIP

Quote My Car may suspend or terminate membership where:

15.2 You engage in fraud, misrepresentation, or unlawful behaviour.

15.3 You fail to make required payments (if applicable).

15.4 Required verification documents are not provided.

15.5 Regulatory or law enforcement obligations require termination

Upon termination:

You must cease using the platform immediately;

Any active auctions or transactions may be cancelled or completed at Quote My

Car’s discretion;

Any outstanding fees remain due.

Members may terminate their membership at any time by requesting account

deletion.

16. LIMITATION OF LIABILITY

16.1 To the fullest extent permitted by law, Quote My Car is not liable for:

Loss arising from vehicle defects or inaccuracies in listings; Loss arising from Member negligence or misuse of the platform; Indirect, consequential, or special damages; Loss due to system downtime, cyber incidents, or technical errors beyond Quote My Car’s control.

QMC REGISTRATION NUMBER: {{company_registration_number}} 16.2 Nothing in this Agreement limits liability for:

Gross negligence; Fraud; Any liability that cannot lawfully be limited.

17. GOVERNING LAW AND JURISDICTION

17.1 This Agreement is governed by the laws of the Republic of South Africa.

17.2 Disputes shall be resolved by the South African courts with jurisdiction.

18. AMENDMENT OF AGREEMENT

18.1 Quote My Car may amend this Agreement from time to time.

18.2 Members will be notified of material changes.

18.3 Continued use after changes take effect constitutes acceptance of the updated

Agreement.

19. ENTIRE AGREEMENT

19.1 This Agreement, together with the Terms & Conditions, Buyer Agreement,

Seller Agreement, Auction Rules and Privacy Policy, constitutes the entire

agreement between the parties concerning membership on the Quote My Car

platform.

20. ACCEPTANCE

By creating an account or using the platform, you acknowledge that you have read,

understood, and agree to be bound by this Membership Agreement.

21. TERMS & CONDITIONS

Quote My Car – Online Vehicle Auction Platform

21. Parties and Application

21.1 These Terms and Conditions (“Terms”) govern all access to and use of the

online vehicle auction platform operated by QMC,

registration number {{company_registration_number}}, with principal place of business at

{{company_address}} (“Quote My Car”, “we”, “us”, “our”).

21.2 By registering an account, listing a vehicle, placing a bid, or using the platform

in any way, you (“User”, “you”, “Buyer” or “Seller”) agree to be bound by these

Terms.

21.3 These Terms are to be read with:

The Auction Rules; The Privacy Policy; Any applicable Seller or Buyer Agreement.

22. NATURE OF THE PLATFORM

22.1 Quote My Car operates an online auction platform that facilitates the sale of

22.2 Unless expressly stated otherwise for a specific lot, Quote My Car:

Acts as an intermediary/auctioneer and is not the owner of vehicles; and Is not a party to the sale agreement between Buyer and Seller, other than as facilitator and fee recipient. 22.3 The platform is operated in accordance with the Consumer Protection Act 68

of 2008 (CPA), the Electronic Communications and Transactions Act 25 of

2002 (ECTA), the Second-Hand Goods Act 6 of 2009, and other applicable

laws.

23. ELIGIBILITY AND REGISTRATION

23.1 Users must:

Be at least 18 years old; Have full legal capacity; and Provide accurate contact, identity and, where required, FICA/verification information. 23.2 Quote My Car reserves the right to:

Verify your identity, creditworthiness, and compliance with FICA; Refuse or cancel registration at its discretion.

24. USER ACCOUNTS AND SECURITY

24.1 You are responsible for maintaining the confidentiality of your login details and

all activity under your account.

QMC REGISTRATION NUMBER: {{company_registration_number}} 24.2 You must notify Quote My Car immediately at qmcdev@qmcars.co.za of any

suspected unauthorised access. 24.3 Quote My Car may suspend or terminate accounts where:

Misuse, abuse, fraud, or suspicious activity is detected; or Legal or regulatory obligations require it.

25. AUCTION LISTINGS AND VEHICLE INFORMATION

25.1 Sellers are responsible for:

Providing true, accurate and complete information about the vehicle, including VIN, make, model, year, mileage, service history, and known defects. Confirming lawful ownership and authority to sell. 25.2 Quote My Car may:

Request supporting documentation (NaTIS, proof of ownership, roadworthy, etc.); Refuse, amend, or remove listings that are inaccurate, unlawful, or misleading. 25.3 Unless otherwise stated, vehicles are sold “voetstoots” (as is), subject to the CPA rules for auctions, and any warranties specifically disclosed in the listing.

26. AUCTION PROCESS AND BIDDING

26.1 Each auction will clearly state:

Whether it is with reserve or without reserve; The start and closing times; Bid increments and any buyer’s premium.

QMC REGISTRATION NUMBER: {{company_registration_number}} 26.2 By placing a bid:

You make a binding, irrevocable offer to purchase the vehicle at your bid price plus any applicable fees; You confirm that you have read the listing and understand the condition and status of the vehicle. 26.3 The highest valid bid at closing that meets or exceeds any reserve price will

generally be accepted as the winning bid. The sale is subject to confirmation by the Seller where stated. 26.4 Quote My Car may:

Extend or re-open bidding due to technical issues; Cancel or void a bid or auction in the event of error, fraud, or regulatory concerns.

27. FEES, PAYMENT AND SETTLEMENT

27.1 Quote My Car may charge:

At launch, the only fee charged by Quote My Car is a flat success fee of {{success_fee_amount}} per successful sale. Administrative or storage fees may apply where applicable and will be disclosed on the platform. 27.2 The winning Buyer must pay:

The full purchase price plus fees within {{buyer_payment_due_days}} business days of the auction close, via the payment methods specified on the platform. 27.3 Quote My Car will:

QMC REGISTRATION NUMBER: {{company_registration_number}} Disburse funds to the Seller after receipt of cleared funds and completion of required documentation, within approximately {{seller_disbursement_days}} business days, less any agreed fees. 27.4 If the Buyer fails to pay on time, Quote My Car and/or the Seller may:

Cancel the sale; Re-list the vehicle; Recover damages, cancellation fees, and/or retain any deposit or registration fee as liquidated damages.

28. TRANSFER OF RISK AND OWNERSHIP

28.1 Risk in the vehicle passes to the Buyer:

On collection/delivery, or As otherwise specified in the auction listing. 28.2 Ownership passes once:

Full payment is received and cleared; and All transfer documentation is completed. 28.3 Buyer is responsible for:

Registration, licensing and roadworthy certification; Insurance from the time risk passes.

29. COMPLIANCE AND VERIFICATION

29.1 Quote My Car may:

Conduct checks under the Second-Hand Goods Act and request identity and ownership documentation;

QMC REGISTRATION NUMBER: {{company_registration_number}} Conduct risk-based due diligence and report suspicious transactions. 29.2 Users must:

Cooperate with any lawful requests for documentation; Not use the platform for any illegal activity, including dealing in stolen vehicles or money laundering.

30. DISPUTE RESOLUTION

30.1 Users must first attempt to resolve disputes with Quote My Car via written

complaint to qmcdev@qmcars.co.za.

30.2 If unresolved, disputes may be referred to:

The National Consumer Commission (where applicable); or The competent South African courts.

31. GOVERNING LAW AND JURISDICTION

31.1 These Terms are governed by the laws of the Republic of South Africa.

31.2 Users consent to the exclusive jurisdiction of the South African courts with

appropriate jurisdiction.

32. AMENDMENTS

32.1 Quote My Car may update these Terms from time to time.

QMC REGISTRATION NUMBER: {{company_registration_number}} 32.2 Continued use of the platform after changes take effect constitutes acceptance

of the updated Terms.

ELECTRONIC ACCEPTANCE

This Agreement is accepted electronically during registration and use of the platform. Quote My Car records the acceptance timestamp, IP address, user agent, and agreement hash as the signature record.
