MEMBERSHIP AGREEMENT

Quote My Car (Pty) Ltd ("QMC") Version: 1.2.0 Effective Date: 08/03/2026

This Agreement is between:

• QMC, registration number {{company_registration_number}}, principal address {{company_address}}; and
• the user or entity registering on the QMC platform ("Member").

1. PURPOSE

This Agreement governs membership access and participation in QMC marketplace services, including dealer quote workflows and dealer auction workflows.

QMC undertakes to use reasonable and commercially practical measures to protect public users, dealers, sellers, and buyers, including verification, monitoring, and fraud-prevention controls.

2. ACCEPTANCE

By creating or using a membership account, the Member accepts this Agreement and related QMC legal policies.

3. CORE COMMERCIAL FLOWS

3.1 Public Upload -> Dealer Quotes (Model A)

QMC may receive vehicle uploads from public users and facilitate dealer quote submissions. If a seller accepts a dealer quote, the dealer must settle QMC's mandatory success fee before seller contact release, subject to law.

3.2 Public Upload -> Dealer Auction at Seller Target (Model B)

QMC may facilitate dealer auctions for vehicles uploaded with a seller target price. Where the transaction closes above seller target, the positive spread is payable to QMC as contractual facilitation margin/profit, unless otherwise agreed in writing.

If a seller-listed vehicle meets or exceeds the stated reserve/target price under a valid auction outcome, the seller must treat the vehicle as sold and may not withdraw from the sale except where required by law or expressly approved by QMC due to exceptional circumstances.

4. MEMBER RESPONSIBILITIES

Members must:

• provide truthful and complete information;
• maintain accurate contact and compliance details;
• keep credentials secure;
• refrain from fraud, collusion, shill bidding, and misrepresentation; and
• comply with South African law and QMC policies.

5. FEES AND SUBSCRIPTIONS

QMC charges a mandatory flat success fee of {{success_fee_amount}} per successful sale where applicable.

QMC may or may not charge listing or auction-upload fees where disclosed, to promote serious seller submissions and reduce spam or fake deal activity.

Dealer subscription fees may apply where disclosed by QMC. QMC may waive subscription fees for an initial or limited period without waiving future subscription rights.

6. NO CIRCUMVENTION

Members may not bypass QMC to avoid success fees, subscription fees, listing fees, or target-price spread entitlement.

Circumvention constitutes material breach and may result in account termination and recovery of damages and costs.

7. DATA PROCESSING

QMC processes personal information in accordance with POPIA and QMC privacy documentation.

Members consent to lawful processing required for verification, fraud prevention, transaction administration, and dispute handling.

8. LIABILITY

To the fullest extent permitted by law, QMC is not liable for indirect or consequential loss.

QMC is not responsible for principal-to-principal vehicle sale disputes, provided QMC has acted within applicable law and these Terms.

9. SUSPENSION OR TERMINATION

QMC may suspend or terminate membership for breach, fraud, non-payment, failed compliance checks, or legal/regulatory reasons.

Termination does not extinguish accrued payment obligations.

10. AMENDMENTS

QMC may amend this Agreement from time to time. Material amendments are published with updated version and effective date.

11. GOVERNING LAW

This Agreement is governed by South African law and subject to South African courts with jurisdiction.
