TERMS AND CONDITIONS

Quote My Car (Pty) Ltd ("QMC") Version: 1.2.0 Effective Date: 08/03/2026

1. INTRODUCTION

These Terms and Conditions govern access to and use of QMC platform services.

By creating an account, submitting a vehicle (with or without an account), requesting or submitting quotes, participating in auctions, or otherwise using QMC services, you agree to these Terms.

QMC undertakes to use reasonable and commercially practical measures to protect public users, dealers, sellers, and buyers, including platform controls, verification processes, and fraud-prevention measures.

3. PLATFORM ROLE

QMC operates a digital vehicle marketplace and auction facilitation platform.

Unless explicitly stated otherwise in writing, QMC:

  • does not own listed vehicles;
  • acts as intermediary and facilitator; and
  • is not the seller or buyer in the underlying vehicle sale.

4. SERVICE MODELS

QMC currently supports two core models.

4.1 Model A: Public Vehicle Upload -> Dealer Quotes

A public user (with or without an account) uploads vehicle details. Verified dealers submit quotes. QMC presents dealer quotes to the seller. If the seller accepts a quote:

  • the accepted dealer is notified;
  • the dealer must pay QMC the mandatory success fee; and
  • seller contact details are released only after confirmed success-fee payment (or as otherwise required by law).

4.2 Model B: Public Vehicle Upload -> Dealer Auction at Seller Target Price

A public user uploads a vehicle and sets a target seller price.

  • QMC may or may not charge a listing/auction-upload fee, disclosed in the workflow, to promote serious seller submissions and reduce spam or fake deal activity.
  • Dealers bid in the applicable auction process.
  • Where a transaction closes above the seller target price, the difference between final sale price and seller target price is contractually due to QMC as facilitation margin/profit, unless otherwise expressly agreed in writing.
  • Example: seller target = R150,000 and closing amount = R180,000, then R30,000 is payable to QMC.

5. ELIGIBILITY AND VERIFICATION

Users must:

  • be at least 18 years old;
  • have legal capacity;
  • provide accurate, complete, and current information; and
  • provide requested KYC/FICA/compliance documents.

QMC may refuse, restrict, or terminate access where required information is missing, inaccurate, fraudulent, or legally non-compliant.

6. LISTINGS AND DISCLOSURES

Sellers warrant that they are legally entitled to market and sell the vehicle and that all listing information is accurate and not misleading.

Sellers must disclose known material defects, accident history, title/finance status, and any legal encumbrances.

QMC may remove, suspend, or reject any listing at its discretion for compliance, fraud-prevention, operational, or legal reasons.

Where a seller submits a vehicle for auction with a reserve/target condition, and a compliant winning outcome is achieved at or above that reserve/target in accordance with the auction rules, the seller must treat the vehicle as sold and may not withdraw the vehicle without lawful cause accepted by QMC.

7. FEES, MARGINS, AND PAYMENT

7.1 Mandatory Dealer Success Fee

QMC charges a mandatory flat success fee of {{success_fee_amount}} per successful sale where the dealer quote is accepted.

No seller contact release is required before success-fee settlement unless mandated by law.

7.2 Auction-Upload Seriousness Fee

QMC may or may not charge a listing or auction-upload fee to promote serious seller submissions and reduce spam or fake deal activity. Any applicable fee and refund status will be disclosed in the workflow.

7.3 Target-Price Margin (Model B)

For seller-target dealer auctions, sellers authorize QMC to retain the positive spread between the final accepted sale amount and the seller target price as QMC margin/profit.

7.4 Dealer Subscription

Dealer subscription fees may apply where disclosed by QMC. QMC may waive subscription fees for a promotional or limited period without waiving its right to charge subscription fees thereafter.

7.5 General Payment Rules

Where amounts are due:

  • payments must be made into QMC-designated accounts;
  • late amounts may bear lawful interest;
  • non-payment may result in suspension, withholding of deal progression, recovery action, or termination.

8. NO CIRCUMVENTION

Users may not bypass QMC to avoid fees, margins, subscriptions, or disclosed charges.

Any attempted circumvention, including off-platform settlement after an introduced quote or auction match, constitutes a material breach and entitles QMC to recover its fees and damages.

9. REFUNDS

Refunds are granted only where required by law or expressly approved by QMC in writing.

Where fees are disclosed as non-refundable, those terms apply subject to applicable law.

10. PRIVACY AND DATA SHARING

QMC processes personal information in accordance with POPIA and QMC privacy-related policies.

For Model A, seller contact details are shared with the accepted dealer after required success-fee settlement (or where legally required).

For Model B, necessary transaction information is shared with participating dealers and transaction parties to facilitate lawful completion.

11. LIMITATION OF LIABILITY

To the fullest extent permitted by law, QMC is not liable for indirect, consequential, special, punitive, or speculative loss.

QMC is not liable for vehicle condition disputes, inaccurate seller/dealer representations, third-party misconduct, financing failure, or failed transaction completion between principals.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

12. INDEMNITY

You indemnify QMC against losses, claims, liabilities, and costs arising from:

  • your breach of these Terms;
  • your unlawful or fraudulent conduct;
  • inaccurate listing, ownership, title, or compliance information supplied by you; or
  • third-party claims linked to your use of the platform.

13. SUSPENSION AND TERMINATION

QMC may suspend or terminate access immediately for material breach, fraud, misuse, non-payment, or legal/regulatory requirements.

Termination does not remove accrued obligations, including fees, margins, charges, and legal costs.

14. CHANGES TO TERMS

QMC may amend these Terms from time to time. Material updates will be published with an updated version and effective date. Continued use after the effective date constitutes acceptance.

15. GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of the Republic of South Africa. Disputes are subject to South African courts with competent jurisdiction.

17. ELECTRONIC ACCEPTANCE

Acceptance may be recorded electronically by registration actions, listing submission, quote acceptance, auction participation, and related platform events.

QMC may retain acceptance evidence including timestamp, account or submission identifier, IP, and technical logs.
